ioLoop Terms of Service

Effective date: October 28, 2026
These Terms of Service (the “Terms”) are a legal agreement between you and Tvara LLC (“Tvara,” “we,” “us,” or “our”), the creator and operator of ioLoop. They govern your access to and use of ioLoop.
Please read these Terms carefully. By creating an account, clicking to accept these Terms, or accessing or using the Services, you agree to these Terms, the Privacy Policy, and the Platform Rules. If you do not agree, do not use the Services.
ARBITRATION NOTICE: EXCEPT FOR CERTAIN DISPUTES DESCRIBED IN SECTION 19, YOU AND TVARA AGREE TO RESOLVE DISPUTES THROUGH BINDING INDIVIDUAL ARBITRATION. YOU WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS OR REPRESENTATIVE ACTION. YOU MAY OPT OUT OF ARBITRATION WITHIN 30 DAYS AS DESCRIBED IN SECTION 19.

1. The Services

ioLoop is a platform for building, operating, hosting, and managing software applications, websites, automations, databases, AI agents, and related projects. The “Services” include:
A project created, hosted, or operated through the Services is an “ioLoop Project.” A person who visits or uses an ioLoop Project is an “End User.”
We may improve, modify, add, or remove features from the Services. We may also provide beta, preview, experimental, or evaluation features. Such features may be changed or discontinued at any time and may be less reliable than generally available features.

2. Eligibility and Authority

You must be at least 13 years old to create or use an ioLoop account. If you are between 13 and 17 years old, you must have permission from a parent or legal guardian to use the Services.
Users between 13 and 17 must provide a valid parent or legal guardian email address and confirm that they have permission to create and use the account. Tvara may notify that address about the account. We may suspend or terminate the account if the parent or legal guardian informs us that permission was not given or has been withdrawn. You may not provide false age or parent-contact information or attempt to circumvent an age restriction.
This account age requirement does not by itself prohibit a person under 13 from accessing a Customer Project as an End User. The customer operating that Customer Project is solely responsible for determining whether the project is appropriate for minors and for complying with applicable child-safety, age-assurance, consent, and children's privacy laws. You may not use ioLoop to create or operate a Customer Project directed to children unless the Services and a written agreement with Tvara expressly support that use.
If you use the Services for a company, organization, school, or other entity, you represent that you have authority to bind that entity. In that case, “you” includes the entity.

3. Changes to These Terms

We may update these Terms. If a change is material, we will provide reasonable advance notice through the Services, by email, or by another appropriate method, except when a shorter period is reasonably necessary for legal, security, or abuse-prevention reasons. The updated Terms will state their effective date.
Your continued use of the Services after updated Terms take effect means that you accept them. If you do not agree to an update, you must stop using the Services and cancel your subscription.

4. Accounts and Authorized Users

You may need an account to use some Services. You agree to:
  • provide accurate, current, and complete information;
  • keep account and billing information current;
  • protect passwords, authentication codes, API keys, and other credentials;
  • promptly notify us of suspected unauthorized access; and
  • accept responsibility for activity under your account, including activity by people you authorize.
You may invite team members or collaborators and assign permissions to them. You are responsible for choosing appropriate permissions and for their use of the Services. If an organization provides or administers your account, its administrators may manage the account and access or control associated projects and data.
Accounts and credentials may not be sold, transferred, or shared except through features we provide or with our written permission.

5. License to Use ioLoop

Subject to these Terms and payment of applicable fees, Tvara grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services and documentation to create, deploy, operate, and make ioLoop Projects available to End Users.
The Services, including their software, interfaces, designs, documentation, and underlying technology, are owned by Tvara and its licensors. Except for the limited license above, these Terms do not grant you any right, title, or interest in the Services.
You must not, and must not help anyone else to:
  • copy, sell, rent, lease, sublicense, distribute, or provide the Services on a service-bureau or time-sharing basis, except as expressly allowed by us;
  • reverse engineer, decompile, disassemble, or attempt to derive source code, models, algorithms, or non-public APIs, except where applicable law prohibits this restriction;
  • bypass security, authentication, rate, usage, billing, or access controls;
  • benchmark or test the Services for publication without our written permission;
  • remove proprietary notices;
  • access the Services through unauthorized automated means;
  • interfere with, overload, disrupt, or damage the Services; or
  • use the Services in violation of law, these Terms, or the Platform Rules.

6. Your Content and Projects

“Customer Content” means code, text, images, files, prompts, instructions, data, database records, credentials, project configurations, End User data, and other material that you or your authorized users submit, upload, store, generate, transmit, or host through the Services. Customer Content does not include ioLoop technology or de-identified usage information.
As between you and Tvara, you retain ownership of Customer Content. You grant Tvara and its service providers a worldwide, non-exclusive, royalty-free license to host, copy, transmit, display, modify, and otherwise process Customer Content only as reasonably necessary to:
  • provide, secure, maintain, and support the Services;
  • follow your instructions and enable integrations you choose;
  • prevent or address fraud, abuse, security incidents, or technical problems;
  • comply with law and enforce these Terms; and
  • make other uses that you authorize.
This license lasts for as long as reasonably necessary for those purposes, including applicable backup, legal-preservation, and wind-down periods.
You represent and warrant that you have all rights, permissions, notices, and lawful bases necessary to provide Customer Content to the Services and to grant this license. You are responsible for Customer Content and for the design, operation, legality, security, and administration of your ioLoop Projects.

7. End Users and Customer Data Responsibilities

You—not Tvara—are responsible for your relationship with End Users. If your ioLoop Project collects, uses, shares, or otherwise processes personal information, you must:
  • provide an accurate and legally sufficient privacy notice;
  • obtain any required consents;
  • honor applicable privacy and consumer rights;
  • use reasonable security measures;
  • enter into any legally required agreements;
  • comply with laws governing marketing, cookies, communications, payments, children, and regulated data; and
  • ensure that your terms with End Users are consistent with these Terms and do not create obligations for Tvara.
You must publish a privacy notice whenever your ioLoop Project collects personal information. You should also publish End User terms when your project provides user accounts, accepts payments or subscriptions, hosts user-generated content, offers regulated or higher-risk functionality, or otherwise creates a contractual relationship with End Users.
As between you and Tvara, you are responsible for responding to End User requests and complaints concerning your ioLoop Project. When Tvara processes personal data in Customer Content on your behalf, you are the controller or business and Tvara acts as your processor or service provider, except where law provides otherwise. The Data Processing Addendum is incorporated into these Terms when it applies to that processing.
You must not state or imply that Tvara sponsors, endorses, certifies, or is responsible for your ioLoop Project.

8. AI-Assisted Features

The Services may include features that use artificial intelligence or machine learning systems provided by Tvara or third parties (“AI Services”). Information you submit to an AI Service, including prompts, code, files, project context, knowledge sources, connection information, and tool results, may be sent to the applicable AI provider to generate a response or perform a requested action.
AI-generated code, text, recommendations, and other material (“Output”) may be inaccurate, incomplete, insecure, offensive, or non-unique. You must independently review, test, and validate Output before using or deploying it. You are solely responsible for decisions, code, content, and actions based on Output.
Tvara does not use Customer Content to train generalized AI models. For ioLoop-managed OpenAI requests, Tvara has disabled OpenAI’s optional data-sharing and model-improvement settings. Customer-selected AI providers and any future ioLoop-managed AI providers process information under their applicable terms and privacy practices, which may differ by provider, account type, and feature. Tvara does not promise that every customer-selected or future provider prohibits all model-training or model-improvement uses. You should not submit information to an AI Service unless you are comfortable with the applicable provider’s practices and have authority to do so.
To the extent permitted by law and subject to any third-party rights, as between you and Tvara, you may use Output generated for you. Because AI systems may produce similar results for different users, Output generated for another user is not your Customer Content.
You must not use AI Services for prohibited high-impact, deceptive, unlawful, or harmful purposes described in the Platform Rules. AI Services are not a substitute for professional legal, medical, financial, safety, or other expert advice.

9. Third-Party Services and Integrations

The Services may allow you to connect third-party products, APIs, accounts, models, MCP servers, or other services (“Third-Party Services”). If you enable an integration, you instruct us to exchange Customer Content and related information with that Third-Party Service as needed to provide the integration.
Some integrations authenticate through an OAuth application registered by Tvara. Where supported, you may instead configure the integration with your own OAuth application or client credentials. When you authorize an integration through Tvara’s OAuth application, you authorize Tvara to receive and store the resulting tokens and to access and exchange information within the scopes you approve. You may disconnect the integration or revoke access through ioLoop or the Third-Party Service, subject to available functionality.
Your use of a Third-Party Service is governed by its own terms and privacy practices. Tvara does not control and is not responsible for Third-Party Services, their availability, their security, or how they process data. You are responsible for obtaining and maintaining any required accounts, licenses, credentials, and permissions.
You must connect only accounts and data you are authorized to use. You are responsible for reviewing scopes and permissions and for disconnecting integrations you no longer need.

10. Sensitive and Regulated Data

The Services are not HIPAA-compliant and are not certified as a PCI DSS environment for you to store or process payment-card data. Unless Tvara expressly agrees otherwise in writing, the Services are not designed to satisfy specialized legal or regulatory requirements for protected health information, payment card data, biometric identifiers, government-issued identifiers, classified information, or similarly sensitive data.
Do not use the Services to store full payment-card numbers, card verification values, protected health information regulated by HIPAA, or other specially regulated data unless an applicable ioLoop plan and written agreement expressly permit it. You are responsible for determining whether the Services are appropriate for your data and legal obligations.

11. Plans, Fees, Credits, and Payment

ioLoop may offer free plans, paid subscriptions, add-ons, usage-based features, and prepaid credits. Current features, limits, and prices are described on the pricing page or in an applicable order.

Subscriptions

Paid subscriptions renew automatically for successive billing periods unless you cancel before renewal. By purchasing a subscription, you authorize Tvara and its payment processor to charge your selected payment method for recurring fees, usage charges, add-ons, taxes, and other amounts you incur.
Plan limits may include users, projects, active applications, compute, storage, AI usage, and other resources. We may restrict or charge for use above those limits as described in the Services or pricing information.

Credits

Credits are limited units used to access eligible usage-based features. Credits included as part of a subscription plan do not roll over into a later billing cycle. Separately purchased credits do not expire solely because time passes, although they may be used only through an active account and remain subject to these Terms.
Unless applicable law requires otherwise, credits:
  • are not money, deposits, stored value, or financial instruments;
  • cannot be transferred, redeemed for cash, or resold;
  • are non-refundable; and
  • may expire or be forfeited as described when issued or purchased.

Taxes and Payment Processing

Fees exclude taxes unless stated otherwise. You are responsible for applicable sales, use, withholding, and similar taxes, excluding taxes based on Tvara’s net income.
Stripe processes card payments. Your use of Stripe’s services is subject to Stripe’s applicable terms and privacy policy. Tvara does not receive or store full payment-card numbers entered directly into Stripe’s payment interface, but may receive billing contact details, payment-method identifiers, card brand, last four digits, expiration information, and transaction status.

Price Changes, Cancellation, and Refunds

We may change prices on reasonable advance notice. Price changes ordinarily apply at the next renewal.
You may cancel a subscription, add-on, license, or other recurring item through the available account controls or by contacting us. Cancellation prevents renewal of the cancelled item. You do not receive a refund or credit for the remaining portion of its current billing cycle, but the applicable license and paid access remain available through the end of that billing cycle unless we suspend or terminate access under these Terms. Unless required by law or expressly stated otherwise, fees and credits are non-refundable.
If payment fails or an account is past due, we may retry the charge, limit features, suspend the account or hosted projects, and eventually deactivate or delete associated resources after notice where reasonably practicable. You remain responsible for amounts incurred before suspension or termination.

12. Service Availability and Changes

The Services depend on software, networks, infrastructure, and third-party providers that may fail or become unavailable. We do not guarantee uninterrupted or error-free operation. Maintenance, emergencies, abuse prevention, legal requirements, capacity constraints, or third-party failures may affect availability.
We may impose or adjust reasonable usage limits and may modify, deprecate, or discontinue features. When practicable, we will give reasonable notice of material discontinuations that affect paid Services.
You are responsible for maintaining independent backups of Customer Content and exported copies needed for your business. The Services are not a substitute for your own backup and continuity plan.

13. Confidentiality

“Confidential Information” means non-public information disclosed by one party to the other that is marked confidential or should reasonably be understood to be confidential. Customer Content is your Confidential Information. Non-public Services, documentation, security information, pricing, and technology are Tvara’s Confidential Information.
Each party will use the other party’s Confidential Information only to perform or exercise rights under these Terms and will protect it using reasonable care. A party may disclose Confidential Information to personnel, contractors, and service providers who need it and are bound by confidentiality obligations.
Confidential Information does not include information that the recipient can demonstrate was lawfully known without restriction, independently developed, lawfully received from another source, or publicly available without breach. A party may disclose information when legally required and, where legally permitted, will provide reasonable notice.

14. Tvara Intellectual Property and Feedback

Tvara and its licensors retain all rights in the Services, documentation, ioLoop names and marks, templates provided by Tvara, and related technology. No rights are granted by implication.
If you provide ideas, suggestions, or feedback, you grant Tvara a perpetual, irrevocable, worldwide, royalty-free right to use it without restriction or compensation.
You may not use Tvara or ioLoop names, logos, or marks in a way that suggests endorsement or affiliation beyond your actual relationship with us.

15. Platform Rules, Monitoring, and Enforcement

You must comply with the Platform Rules. We do not undertake to monitor all Customer Content or ioLoop Projects, but we may investigate suspected violations and review information reasonably necessary to protect the Services, users, and public.
We may block or remove content, restrict features, suspend projects or accounts, preserve information, or take other appropriate action when we reasonably believe there is a violation, security threat, legal risk, payment failure, or harm to Tvara, users, or third parties. We may report suspected unlawful activity and cooperate with lawful requests from authorities.

16. Copyright and Other Rights Complaints

Tvara respects intellectual-property rights. Copyright notices under the Digital Millennium Copyright Act should be sent to Tvara's registered designated agent:
Sriram Dayanandan
Tvara LLC
5480 Sunol Blvd, Ste 2
Pleasanton, CA 94566
Telephone: ---
Email: [email protected]
The notice should include:
  • identification of the protected work or right;
  • identification and location of the allegedly infringing material;
  • your name and contact information;
  • a statement that you have a good-faith belief the use is not authorized;
  • a statement, under penalty of perjury, that the notice is accurate and you are authorized to act; and
  • your physical or electronic signature.
We may remove or restrict material and terminate repeat infringers where appropriate. We may share a complaint with the affected user so they can respond.
Complaints concerning intellectual-property rights other than copyright may be sent to [email protected].

17. Suspension and Termination

You may stop using the Services at any time and may cancel a paid subscription as described in Section 11.
We may suspend or terminate access immediately if we reasonably believe you materially breached these Terms or the Platform Rules, failed to pay, created a security or legal risk, engaged in fraud or abuse, or if suspension is required by law. We may also discontinue the Services or terminate an account for convenience on reasonable notice where practicable.
When an account terminates, your right to use the Services ends. You should export Customer Content before termination. Subject to applicable law and any separate agreement, we may delete Customer Content and account resources after termination or a period of suspension. We are not obligated to retain or recover deleted Customer Content.
Sections that by their nature should survive termination—including ownership, payment obligations, confidentiality, disclaimers, liability limitations, indemnity, and dispute provisions—will survive.

18. Disclaimers, Liability, and Indemnity

Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES, OUTPUT, DOCUMENTATION, AND THIRD-PARTY MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TVARA DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, SECURITY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, TVARA AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY; OR THE COST OF SUBSTITUTE SERVICES, ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE FULLEST EXTENT PERMITTED BY LAW, TVARA’S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNT YOU PAID TVARA FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.
These limitations do not apply where prohibited by law. Some jurisdictions do not allow certain exclusions or limitations, so some may not apply to you.

Indemnity

To the extent permitted by law, you will defend, indemnify, and hold harmless Tvara and its affiliates, officers, employees, agents, and licensors from claims, losses, liabilities, damages, judgments, costs, and reasonable attorneys’ fees arising from or related to:
  • Customer Content or an ioLoop Project;
  • your relationship with End Users;
  • your violation of law, these Terms, or the Platform Rules;
  • your use of Third-Party Services; or
  • your infringement, misappropriation, or violation of another person’s rights.
Tvara will provide reasonable notice of an indemnified claim and may control its defense. You may not settle a claim in a way that admits fault by or imposes obligations on Tvara without our written consent.

19. Dispute Resolution

Governing Law

These Terms and any dispute arising from them or the Services are governed by California law, without regard to conflict-of-law principles.

Informal Resolution

Before filing a claim, you and Tvara agree to attempt in good faith to resolve the dispute informally for 30 days. Send notice to [email protected] with your name, account email, a description of the dispute, and the relief requested.

Individual Arbitration

Except for the exceptions below, disputes that are not resolved informally will be resolved by binding arbitration in English before one arbitrator in Alameda County, California. The arbitration will be administered by the American Arbitration Association (“AAA”) under the applicable AAA Consumer Arbitration Rules or Commercial Arbitration Rules, as appropriate.
YOU AND TVARA WAIVE THE RIGHT TO A JURY TRIAL. CLAIMS MUST BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN A CLASS, CONSOLIDATED, COLLECTIVE, OR REPRESENTATIVE ACTION. UNLESS BOTH PARTIES AGREE, THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OR PRESIDE OVER A REPRESENTATIVE PROCEEDING.
The arbitrator may award relief available in court on an individual basis. The award will be final and binding, subject only to review permitted by law.

Exceptions

Either party may bring an individual claim in small claims court. Either party may also seek injunctive or equitable relief in a court of competent jurisdiction for actual or threatened infringement, misuse, or misappropriation of intellectual property, unauthorized access, or a security threat. Any court proceeding permitted under this Section must be brought exclusively in the state or federal courts located in Alameda County, California, and each party consents to their jurisdiction.

Arbitration Opt-Out

You may opt out of arbitration by emailing [email protected] within 30 days after you first accept these Terms. Your notice must include your full name, mailing address, account email and username (if any), and an unequivocal statement that you opt out of the arbitration agreement. Opting out does not affect the rest of these Terms.

20. General Terms

Export and Sanctions

You must comply with applicable export-control, sanctions, and trade laws. You represent that you are not prohibited from using the Services under those laws and will not make the Services available to prohibited persons or in prohibited locations.

Assignment

You may not assign these Terms without Tvara’s written consent. Tvara may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law.

Notices

We may send notices to the email associated with your account, through the Services, or by posting on an applicable ioLoop website. You are responsible for keeping your email current. Legal notices to Tvara must be sent to [email protected].

No Waiver; Severability

Failure to enforce a provision is not a waiver. If a provision is unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will continue in effect.

Entire Agreement and Order of Precedence

These Terms, the Platform Rules, the Privacy Policy, and any order or written agreement that expressly incorporates these Terms form the entire agreement concerning the Services and replace prior agreements on the same subject. If a signed written agreement conflicts with these Terms, the signed agreement controls for that conflict.

No Third-Party Beneficiaries

These Terms do not create third-party beneficiary rights.

Headings

Headings are for convenience only. The words “including” and “includes” mean “including without limitation.”
